When the big players take a major position

When any entity acquires more than 5% of a public company's outstanding shares, they are legally required to disclose this to the SEC within five business days by filing a Schedule 13D (activist) or Schedule 13G (passive). These "beneficial ownership disclosures" reveal major new stakes by hedge funds, activist investors, private equity firms, and other institutional whales.

A 13D filing — particularly from a known activist investor like Carl Icahn, Bill Ackman, or Elliott Management — can send a stock surging 10-30% in a single day. FearAlert monitors these filings during the hourly scheduled run so you can review them after they become public.

13D
Activist Investor
Filed when an investor crosses 5% with intent to influence management — the most market-moving filing type. Expect price surges.
13G
Passive Holder
Filed when a passive institution (index fund, pension) crosses 5%. Less dramatic but signals institutional conviction in the stock.
13D/A
Amended Position
An amendment to a previous 13D — could signal the activist is increasing their stake or laying out specific demands.
